Randy Gullickson is a shareholder of the Anthony Ostlund Baer Louwagie & Ross P.A. Mr. Gullickson resolves complex business disputes. His practice focuses significantly on resolving shareholder and ownership disputes in closely held corporations, partnerships, and limited liability companies. Mr. Gullickson has extensive experience advising businesses–and their officers, directors and shareholders–on matters of corporate governance and related legal and business issues, and the negotiated resolution of internal disputes. Active in state and federal courts and in arbitration proceedings, Mr. Gullickson also handles commercial disputes involving a wide range of other issues, including business valuation proceedings, contract disputes, financial fraud, unfair competition claims, and employment and banking matters. Mr. Gullickson has lectured and written on a variety of topics, including shareholder rights and litigation issues. In 2006 and 2007, Mr. Gullickson was recognized as one of the leading business litigators in Minnesota by Chambers USA for his representation of clients in shareholder litigation matters and other business disputes. For several years, he has been designated by his peers as a "Super Lawyer."
Prior to joining Anthony Ostlund Baer Louwagie & Ross, Mr. Gullickson was a litigation partner at the 150-lawyer firm of Lindquist & Vennum, P.L.L.P., where he practiced for more than 13 years.
Results and Decisions
Mr. Gullickson has throughout his career successfully represented clients and obtained favorable results. Following are representative examples of trial results and reported court decisions:
- In December 2007, Mr. Gullickson completed a month-long trial in Hennepin County District Court in which the jury awarded the firm’s client, PDG, P.A., $130 million in a breach of contract and fiduciary duty case.
- Following trial, a Hennepin County District Court awarded the firm’s client more than $22 million in a shareholder deadlock/oppression case. (March 2005)
- Powell v. Anderson, 2006 Westlaw 44336 (Minn. Ct. App. 2006) (successful defense of majority shareholder against minority shareholder oppression claim, and grant of summary judgment enforcing stock redemption agreement despite claim for substantially higher value).
- Onvoy, Inc. v. SHAL, LLC, 669 N.W.2d 344 (Minn. 2003) (favorable ruling on question of first impression involving the obligation of corporate directors in conflict of interest situations).
- Wandling v. Transview, 2001 Minn. App. Lexis (Minn. Ct. App. 2001) (successful defense of technology company against claims for entitlement to stock ownership and substantial damages due to denial of stock ownership).
- Minneapolis Employees Retirement Fund v. Alison-Williams Co., 519 N.W.2d 176 (Minn. 1994) (court established/clarified the duty of securities brokers to customers under Minnesota law).
- Miller Waste Mills v. Mackay, 520 N.W.2d 490 (Minn. Ct. App. 1994) (court enforced closely-held corporation’s right to redeem shareholder’s stock at book value, despite a claim to receive higher value).
- Gunderson v. Alliance of Computer Professionals, Inc., 628 N.W.2d 173 (Minn. Ct. App. 2001) (court reversed summary judgment, permitting plaintiff/shareholder to proceed with claims for a fair value buy-out and other relief based upon evidence of unfair treatment toward him by majority shareholders).
- DVC-JPW Investors v. Gershman, 5 F.3d 1172 (8th Cir. 1993) (court confirmed and enforced NASD arbitration award against securities broker).
- Skeen v. State, 505 N.W.2d 299 (Minn. 1993) (represented 50+ Minnesota school districts in a 67-day trial resulting in a judicial declaration that key components of the Minnesota school finance system were unconstitutional. Trial court judgment reversed on appeal).
- Interfaculty Organization v. Carlson, 478 N.W.2d 192 (Minn. 1991) (court declared gubernatorial line item vetoes to be unconstitutional, effectively restoring approximately $30 million in funding to higher education programs).
- Massey v. Holm, 1997 Minn. App. Lexis 1412 (Minn. Ct. App. 1997) (court confirmed arbitration award on commercial dispute in favor of client).

Teaching
Mr. Gullickson has been a regular lecturer on shareholder litigation issues for the Minnesota Institute of Legal Education (MILE). This has included lectures on the rights, duties, and legal obligations of shareholders, officers, directors and executives/employees in private, closely held corporations.
Professional Activities
Mr. Gullickson is a member of the Minnesota Bar Association (Civil Litigation Section) and the Federal Bar Association.
Community/Civic Activities
Mr. Gullickson has been selected to participate in the Leadership Minneapolis Program, sponsored by the Greater Minneapolis Chamber of Commerce. This program for business, government, and civic leaders was designed to examine critical economic, social and political issues facing the Twin Cities Metropolitan area. Mr. Gullickson has also served as President and a board member of his church and as a board member of other non-profit organizations.
